GovNu Governance Platform

These Terms of Service (“Agreement” or “Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“Customer,” “you,” or “your”), and GovNu, Inc., a California corporation with its principal place of business in California, USA (“GovNu,” “we,” “us,” or “our”), governing your access to and use of the GovNu governance platform, including the website located at https://govnu.dev (the “Site”), the GovNu command-line interface (the “CLI”), the GovNu application programming interfaces (the “APIs”), and all related services (collectively, the “Service”).
By accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.
2.1 By creating an account, accessing the Site, installing the CLI, or otherwise using the Service, you agree to these Terms and all policies incorporated by reference, including the Privacy Policy, Acceptable Use Policy, and Cookie Policy.
2.2 If you do not agree, you must immediately cease use and delete your account.
3.1 GovNu is an autonomous governance-as-a-service platform operating in three modes:
3.2 Source code is processed in ephemeral sandboxes and destroyed immediately. Code is never stored at rest.
4.1 You must provide accurate registration information and keep it current.
4.2 You are responsible for account credential security. Notify legal@govnu.dev immediately upon unauthorized access.
4.3 Minimum age: thirteen (13). Each user needs a unique account.
5.1 Customer must have the rights to grant GovNu access to submitted repositories.
5.2 Customer is solely responsible for reviewing and approving all AI-generated outputs before production use. Outputs are advisory, not guarantees.
5.3 Customer is responsible for Authorized Users' compliance with these Terms.
6.1 Enterprise Customers may route analysis through their own LLM providers.
6.2 Customer is solely responsible for BYOLLM provider selection, terms, data handling, and costs.
6.3 GovNu's data processing obligations apply only to Managed LLM Providers (Anthropic, Google Vertex AI).
6.4 Managed LLM Providers operate under no-training guarantees for Customer Data.
7.1 Customer retains all ownership of Customer Data. GovNu claims no ownership over your code.
7.2 GovNu retains ownership of the Platform, governance rules, and all related technology.
7.3 AI-generated outputs using Customer Data are owned by Customer.
8.1 Four Tiers: Free, Pro, Team, and Enterprise. Paid Tiers billed monthly or annually via Stripe.
8.2 Overages billed at end of billing period. Taxes are Customer's responsibility.
8.3 Consumed API resources and completed scans are non-refundable. Annual downgrades receive pro-rata credit.
8.4 Payment overdue 15+ days may result in suspension with 5 days' notice.
9.1 TOTAL LIABILITY CAPPED AT FEES PAID IN THE PRECEDING 12 MONTHS (USD $100 FOR FREE TIER).
9.2 NO LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9.3 Exceptions: indemnification, breach of confidentiality, payment, willful misconduct.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. GOVNU DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
GovNu does not provide legal, regulatory, or compliance advice. Outputs are informational tools, not legal opinions.
Mutual indemnification: GovNu indemnifies for IP infringement and DPA breach. Customer indemnifies for Customer Data, repository content, and AUP violations.
12.1 Customer may cancel anytime via account settings. Takes effect at end of billing period.
12.2 Upon termination: 30-day grace period for data export, then cryptographic shredding. Immediate deletion available on request via data settings.
All outputs are AI-assisted and advisory. Customer must independently verify before relying on them. AI models may produce different results over time.
Each party holds the other's Confidential Information in strict confidence. Customer Data is Customer's Confidential Information. See the Data Processing Agreement for details.
30 days' notice for material changes. Continued use after the notice period constitutes acceptance. Customer may terminate if they disagree.

Laws of the State of California. Trade secret claims governed by California law (CUTSA/DTSA).
Informal resolution first (30 days). Binding arbitration for unresolved disputes. Small claims court exception. Class action waiver.
Neither party liable for delays due to circumstances beyond reasonable control. Either party may terminate if event exceeds 60 days.
Invalid provisions are severed; remainder survives. These Terms plus referenced policies constitute the entire agreement. No assignment without consent (exception: M&A).
Export Compliance. Customer must comply with U.S. export controls (EAR, OFAC).
Age Restriction. Minimum age: 13 (COPPA).
